DraftKings Has a New Customer Target
At this point, DraftKings' mission is clear - they want to control the gaming world, not just in the U.S., but around the world. The company is already discussing buying Golden Nugget Online Gaming (GNOG) for about $1.56 billion, but that pales in comparison to the latest acquisition target. Entain has confirmed that it is considering an offer from DraftKings to sell it for about $22 billion if the deal reaches the finish line.
DraftKings attracts attention
Not long ago DraftKings and GNOG announced their agreement, although the deal still faces some resistance. While things were being settled and sorted out, DraftKings was apparently working on a separate agreement with a much larger purpose. Entain has confirmed that it has received a takeover offer from the second-largest sports betting operator in the United States. If the deal is accepted, DraftKings would become a global leader in sports betting and online gambling.
Entain explained that DraftKings recently approached it with an offer to buy the company for $34.12 per share in cash and stock. That offer was deemed too low and was rejected by Entain's board of directors. DraftKings didn't stop there and came back a few days ago with a higher offer of $38.21. The payout would be a combination of cash and stock, with Entain receiving a 46.2% premium to its Sept. 20 end-of-day share price. This option seemed more acceptable and was accepted by the board. DraftKings will now have until Oct. 19 to fulfill its purchase commitment. However, according to Entain, that commitment may not come.
Entain's acquisition faces challenges
Before DraftKings can close the deal to buy Entain, it will have to get around a big brick wall in the form of MGM Resorts International. MGM and Entain are tied together through the online gambling platform BetMGM in the United States, and MGM previously announced that it was discussing buying out its partner to control the entire business. A fair and satisfactory conclusion has not yet been reached, but MGM is still analyzing the numbers to see how to proceed. It doesn't want to pay Entain more money, but it doesn't want to give up its stake in BetMGM either. MGM has made it clear that it will prevent any negotiations between DraftKings and Entain. Following the news, the company released a statement saying, "MGM is Entain's exclusive partner in the online sports betting and iGaming market in the United States through our highly successful joint venture BetMGM LLC ("BetMGM"). As a consequence, any transaction in which Entain or its affiliates would own a competing business in the United States would require MGM's approval."
DraftKings wants to take over the market, but it needs to beat FanDuel to become number one. BetMGM is gaining momentum and threatening the positions of both sides. The takeovers DraftKings expects will almost certainly put it in the first place, but MGM will make sure that doesn't happen." In a statement, the company added that it would "engage with Entain and DraftKings" as necessary to find a solution that "meets the goals of all parties."
